1. Acceptance of Terms

By accessing or using ARProBOT services, users acknowledge that they have read, understood, and agreed to these Terms & Conditions. Continued use of the platform constitutes acceptance of any future updates or modifications to these Terms.

2. User Responsibilities

Users agree to:

• Use the platform only for lawful purposes
• Comply with all applicable laws and regulations
• Follow WhatsApp Business Platform policies defined by Meta
• Avoid misleading, fraudulent, deceptive, or spam marketing practices
• Maintain valid opt-in consent records for all marketing communications

Users are solely responsible for the content they send through the platform.

3. Media File & Creative Guidelines

Users must ensure that all uploaded media complies with WhatsApp Business API standards.

Images

• Supported Formats: JPG, JPEG, PNG
• Maximum File Size: 5 MB
• Excessive text-heavy images are discouraged
• Promotional content should primarily be included in the message body
• Text-heavy creatives may result in template rejection

Videos

• Supported Formats: MP4, 3GP
• Maximum File Size: 16 MB
• Short videos are recommended for better delivery performance

Documents

• Supported Formats: PDF, DOC, DOCX, XLS, XLSX, PPT, PPTX, TXT
• Maximum File Size: 100 MB

If files exceed supported limits or formats, message delivery or template approval may fail. The Company shall not be responsible for such failures.

Media requirements may change in accordance with Meta policy updates.

4. Messaging & Campaign Compliance

Users are responsible for:

• Following the WhatsApp 24-hour messaging rule
• Avoiding spam, abuse, or excessive messaging practices
• Selecting the correct message category (Marketing, Utility, Authentication, or Service)
• Maintaining healthy engagement, quality, and block rates

High complaint rates may result in:

• Messaging limit reductions
• Account restrictions
• Phone number suspension
• WhatsApp quality rating deterioration

Such actions are determined solely by Meta and are beyond the Company's control.

5. Meta Pricing & Categories

Message charges, conversation categories, and billing structures are determined and controlled by Meta Platforms.

Pricing may vary by country, conversation type, currency, and Meta policy updates without prior notice.

The Company does not control Meta pricing, billing policies, or category definitions.

6. No Performance Guarantee

The Company does not guarantee:

• Message delivery rates
• Message open rates
• Click-through rates
• Lead generation results
• Sales conversions
• Template approval timelines
• Business verification approval timelines

Actual performance depends on multiple external factors beyond our control.

7. Account Suspension & Liability

If user activity violates platform policies, Meta policies, or applicable laws:

• Accounts may be suspended
• Services may be terminated
• Access may be restricted
• Refunds may not be applicable

If a Business Manager account, WhatsApp Business Account, phone number, Meta Business Portfolio, or related service is restricted, suspended, disabled, or rejected by Meta, the Company shall not be held liable.

Resolution timelines depend solely on Meta's review and approval processes.

8. Technical & Third-Party Dependency Disclaimer

Service availability depends on various third-party systems, including:

• Meta API infrastructure
• Hosting providers
• Cloud service providers
• Internet service providers
• Payment gateway providers

The Company shall not be liable for downtime, API outages, service interruptions, rate limits, delayed deliveries, technical failures, or external system disruptions.

9. Data Backup Advisory

Users must download campaign reports, message reports, and performance data within 7 days of campaign execution.

The Company is not obligated to restore deleted logs, reports, or campaign data after the applicable retention period.

10. Plan Upgrade Policy

• The Economy Plan is non-upgradable and cannot be converted, upgraded, or migrated to any other plan under any circumstances.
• Annual (Yearly) subscription plans are fixed-term plans and cannot be upgraded, converted, or migrated to any other subscription plan during the active subscription period.
• Upgrade options are available only for Monthly subscription plans. Users may upgrade from one Monthly plan to another Monthly plan by paying applicable upgrade charges, if any.
• All upgrades remain subject to the Company's prevailing pricing, policies, eligibility requirements, and technical limitations at the time of the request.

11. Modifications to Services

The Company reserves the right to modify, suspend, discontinue, replace, or update any feature, functionality, pricing structure, subscription plan, integration, or service offering at any time in response to platform requirements, business needs, regulatory changes, or technology updates.

12. Intellectual Property

All software, trademarks, branding, platform designs, logos, documentation, and related intellectual property associated with ARProBOT remain the exclusive property of A R Pro Digital unless otherwise stated.

Users may not copy, modify, reverse engineer, distribute, or commercially exploit any portion of the platform without prior written authorization.

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising out of or relating to the use of the platform shall be subject to the exclusive jurisdiction of the competent courts located in Chandausi, Uttar Pradesh, India.
